First Financial Service Corp., the holding company for First Federal Savings Bank of Elizabethtown, will be sold to an Indiana bank company.

The definitive agreement finalizing the deal was signed Monday night. It had been approved earlier in the day by the First Financial board of directors and the board of Community Bank Shares of Indiana.

It is a stock transaction valued at approximately $ million. No money is changing hands in the deal, according to a joint news release issued Tuesday morning by the companies.

Greg Schreacke, the president of First Financial Service Corp., relayed the news to First Federal employees this morning. In an interview, he said all employees with direct customer contact, including tellers and loan officers, will continue with the new company. The eight-member executive team of the local institution will not be retained, he said.

First Federal has two branch offices in Bardstown, on East John Rowan Boulevard and North Third Street.

Schreacke said the two businesses are “basically combining” but Community Bank Shares “will be the surviving entity.”

The deal is pending regulatory approval from the Federal Reserve and the Federal Deposit Insurance Corp., which will take 90 days or more, Schreacke said.

Under the new ownership, First Federal’s 17 offices will be rebranded under the name Your Community Bank.

Bardstown already has two Your Community Bank branches, on East Stephen Foster and West John Rowan Boulevard.

Community Bank Shares of Indiana, which is publicly traded on NASDAQ under the notation CBIN, is based in New Albany, Ind. It operates Scott County State Bank and the Your Community Bank locations in southern Indiana.

1st Federal Saving Bank CEO in Rochester Honored

Richard E. Belcher, chairman and CEO of First Federal Savings Bank, Rochester, has been honored by the Indiana Bankers Association with the IBA Leaders in Banking Excellence award. The award, which celebrates exceptional leaders who have positively impacted Indiana banks and communities, was presented at a special ceremony at the bank in June.  This month, six other Indiana bankers are to be inducted into the class of leaders at the IBA Annual Convention.

At the June ceremony, representatives from the IBA and Indiana banking community made presentations, and Belcher offered comments, reflecting on his career and community involvement. Additionally, he was presented with an ebony plaque etched with his portrait and biography. An identical crystal plaque is on permanent display at the IBA offices in Indianapolis. Biography: Richard E. Belcher founded First Federal Savings Bank, Rochester, out of the back of a grocery store in and today serves as chairman and CEO. His leadership includes service as chairman of the Indiana League of Savings Institutions, which later merged with the Indiana Bankers Association. In Belcher donated more than $3 million to multiple Fulton County nonprofits, culminating an estate plan created with his late wife, Suzanne. Belcher has been named Rochester Chamber of Commerce Outstanding Citizen, Northern Indiana Financial Entrepreneur of the Year, and he and Mrs. Belcher together earned the Rochester Community Service award and the Purdue University President’s Council Pinnacle award. In , he spearheaded construction of the first LEEDcertified bank branch in Indiana. A member of the IBA 40 Year Club, Belcher is a graduate of Purdue University and a veteran of the U.S. Army.

First Federal Bank of the Midwest was a bank headquartered in Defiance, Ohio. First Defiance Financial Corp. (NASDAQ: FDEF) was the holding company for FirstFederal Bank of the Midwest.

It operated 28 full service branches and 35 automated teller machines in Ohio, Indiana and Michigan.

The bank was established in as FIRST FEDERAL SAVINGS AND LOAN ASSOCIATION OF DEFIANCE.[2]

Inthe name of the bank was changed to First Federal Bank of the Midwest.[2]

In Marchthe company acquired Pavilion Bancorp Inc. and its subsidiary, the Bank of Lenawee.[3]

Inthe company repurchased the stock issued to the United States Department of the Treasury in connection with its investment in the company via the Troubled Asset Relief Program and in the company repurchased the warrants issued to the Treasury.[4]

In Februarythe company announced a merger with First Community Bank and entered the Columbus, Ohio market.[5] However, in Aprilthe merger agreement was terminated.[6]

In Februarythe company acquired Commercial Bancshares, Inc. and The Commercial Savings Bank for $ million.[7]

In Januarythe holding company for First Federal Bank of the Midwest and First Insurance Group merged with United Community Financial Corp. In Aprilthe new company announced the unification of their banking businesses under the new first federal savings bank indiana of Premier Bank.[8]
